DSW CANADA VIP REWARDS PROGRAM TERMS AND CONDITIONS

By becoming a Member of the DSW VIP Rewards Program in Canada (“VIP Program”), Members agree to receive advertising, marketing materials and other communications from DSW Canada, except where expressly disallowed as a profile preference. By enrolling in the VIP Program, Members agree to all of the terms and conditions of the VIP Program (the “Terms”) and DSW Canada’s Website Terms of Use , which are incorporated into these Terms by reference. Membership rules are void to the extent prohibited by law. Provincial and federal fees and taxes may apply purchases by Members where required by law.
These Terms of the VIP Program are separate and independent from Shoe Co. and Shoe Warehouse Shoe VIP Rewards programs and the DSW U.S. VIP Rewards Program. VIP Program Membership is open to individuals at least 13 years of age. Commercial customers and others purchasing items for resale are not eligible for the VIP Program.
DSW Canada may terminate, modify or change the VIP Program rules, regulations, benefits, conditions of participation or point levels for earning free promotional rewards (“Rewards”), in whole or in part, at any time without notice, even though changes may affect the points already accumulated. Unless prohibited by law, DSW Canada may change or terminate VIP Program partners or withdraw, limit, modify or cancel any Reward, increase the points required for earning any free promotional Reward, modify or regulate the transferability of Rewards or benefits, institute or add Reward blackout dates or limit the number of Rewards for use by any one individual on any one purchase. DSW Canada reserves the right to make VIP Program points and other promotional offers available to select Members based on purchase activity, geographic location, VIP Program participation or information supplied by the Member.
EARNING POINTS AND OTHER PROMOTIONAL OFFERS
Members earn points (“Points”) for every dollar spent on Eligible Product Purchases (as defined below). Points accrue when a Member’s unique VIP Program Member Number is provided at the time of purchase for both in-store and online Eligible Product Purchases. Under the VIP Program, “Eligible Product Purchases” means purchases of products such as footwear, handbags and accessories. Gift card purchases are excluded.
Members will also have opportunities to earn Points through the Member’s participation in various activities, including, but not limited to: (i) trying on shoes (ii) writing reviews on dsw.ca, (iii) and providing the Member’s birthday.
Members also have the ability to periodically earn bonus Points. Bonus Points help a Member earn promotional Rewards faster, but do not contribute to a Member’s overall tier status. DSW Canada has the right to make the final decision on whether a purchase qualifies for Points (or an action qualifies for bonus Points) under the VIP Program.
The VIP Program is a promotional offer and free to enroll. There are three (3) eligible tiers of Membership. The Member will graduate to the next tier automatically upon meeting the tier’s qualifications as follows:
- The first tier (“Club”) is achieved upon enrollment in the VIP Program. As a Club Member, the Member earns one (1) Point for every $1.00 spent on Eligible Product Purchases. Club Members are eligible for free 4-7-day shipping and will receive a $5.00 promotional birthday offer each birthday which can be used online or in-store, subject to restrictions as set forth below, and expires after 30 days. (collectively, the “Club Member Benefits”).
- The second tier (“Gold”) is achieved when the Member spends over $200.00 on Eligible Product Purchases in the same calendar year. As a Gold Member, the Member earns one (1) Point for every $1.00 spent on Eligible Product Purchases. Gold Members are also eligible for periodic free promotional perks like early access to product releases (collectively, the “Gold Member Benefits”).
- The third tier (“Elite”) is achieved when the Member spends over $500.00 on Eligible Product Purchases in the same calendar year. As an Elite Member, the Member earns two (2) Points for every $1.00 spent on Eligible Product Purchases. In addition to the Club Member Benefits and Gold Member Benefits, all Eligible Product Purchases made on or after VIP Program launch (May 28, 2019) will be eligible for return in store within 365 days of purchase. Instead of a $5.00 promotional birthday offer, Elite Members will receive a $10.00 promotional birthday offer each birthday (collectively, the “Elite Member Benefits”).
Additionally, DSW VIP Members who purchase three (3) pairs of eligible kids shoes within a calendar year will receive a $20 Reward. Eligible Kids shoes are identified as youth (sizes 11-7) and toddler (sizes 5-10) OR any sku number starting with an ‘8’. Kids Bonus Rewards are issued for promotional purposes only and are valid at participating DSW stores in Canada and www.dsw.ca. Only valid on footwear purchases with a minimum price of $20. Discount applies before applicable taxes. Cannot be used in conjunction with any other coupon, discount or offer, but can be combined with DSW VIP Rewards. Not valid towards same day exchanges or the purchase of gift cards or previous purchase and same day exchanges. Return of discounted items will be for the price actually paid. Limited to 1 redemption per customer. Offer has no cash value. Offer expires 30 days from the date of membership enrollment.
REDEEMING POINTS EARNED UNDER THE VIP PROGRAM
- For every 100 Points Members earn in the VIP Program, Members will be eligible to receive a free promotional Reward redeemable for $5.00 off the purchase of any eligible products or services at participating DSW Canada retail store locations or online at dsw.ca. Rewards are automatically added to Member’s rewards account (“Member’s Rewards Account”) after earning 100 Points. Multiple Rewards earned at the same time are automatically combined in Member’s Rewards Account. VIP Members will also have the opportunity to earn Rewards at higher denominations by opting in through their Member Rewards Accounts.
- Rewards are valid for 75 days from date of issue. Members in good standing may earn up to a maximum of 50 Rewards per year. Rewards may be used in conjunction with other Rewards and most other discounts or promotional offers toward the purchase of products, not to exceed purchase amount. Some exclusions may apply and there is a limit of one discounts/promotional offers per transaction. There is no limit on the number of rewards that can be used in a transaction. No photocopies or facsimiles accepted.
- Rewards are not valid on prior purchases, certain products and services, purchase of DSW Gift Cards and eGift Cards or for tax or other fees. Rewards are for promotional purposes only and are not redeemable for cash and no change/currency will be given for Reward redemption. Members may be notified of additional ineligible products and services. Other restrictions may apply. Lost, stolen, or expired Rewards will not be replaced.
- As of August 25, 2020, DSW VIP Members will have the option to donate their unexpired Rewards to one or more charitable causes designated by DSW. To donate, log on to your member profile at dsw.ca and follow the prompts to donate. Full value of Reward amount issued must be donated. Promotional offers, gift cards and discount vouchers are not eligible for donations. Designer Brands Canada Inc. will make a donation to the charity selected by VIP Member in an amount equal to the face value of the Reward. Rewards are not redeemable for cash. VIP Member Reward Donations are not tax deductible by the member, and a charitable donation receipt will not be provided to the VIP Member.
- Except as provided for in the VIP Program, Rewards are not transferable and may not be combined among VIP Members or conveyed by any means to anyone. Rewards are not transferable through a Member’s estate and may not pass to Members’ successors and assigns. Rewards do not constitute property of the Member.
ADDITIONAL TERMS
Abuse of the VIP Program, including failure to follow these Terms, policies and procedures, the sale or barter of Rewards, products, Points or other promotional offers, using multiple VIP Program accounts in an effort to abuse the VIP Program and any misrepresentation of fact relating thereto or other improper conduct, as determined by DSW Canada in its sole judgment, may result in cancellation of the Member's Rewards Account, future disqualification from VIP Program participation, forfeiture of all points accrued, and cancellation of previously issued but unused Rewards. In connection with the enforcement of any of the Terms governing the VIP Program, DSW Canada reserves the right to take appropriate legal action as it deems necessary to recover damages, legal fees and court costs.
DSW Canada reserves the right to interpret and apply the policies and procedures communicated in these Terms. All determinations by DSW Canada shall be final and conclusive in each case. These Terms supersede all previously published terms and conditions.
Members do not receive Points for the amount of any Rewards redeemed or discounts applied. When Members return products, Points previously posted to the Member's Rewards Account for that purchase will be forfeited. Other exclusions may apply. Points apply only to the first VIP Program number scanned in connection with any purchase.
DSW Canada is not responsible for communications, including Rewards, lost due to change of address or other contact information. Points that remain on Member's Rewards Account are forfeited if the VIP Program is terminated or the Member's Rewards Account is closed due to inactivity or for any other reason and will not be reinstated upon reactivation of a Member’s Rewards Account. In the event that a Member returns merchandise that was partially or wholly paid for with a Reward, the Reward used in connection with such a purchase will be reissued for use with the original expiry date.

By enrolling in the VIP Program, Members agree that: (i) you will contact us directly and give us the opportunity to try to resolve any and all disputes before you take any action in court or otherwise; (ii) to the extent permitted by law, any and all disputes, claims and causes of action arising out of or connected with the Program shall be resolved individually, without resort to any form of class action; (iii) any and all Member claims, judgments and awards shall in no event include legal fees; and (iv) and to the extent permitted by law, under no circumstances will Member be permitted to obtain awards for, and Member hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

If there is no Member Rewards Account activity or Points earned from any source posted to a Member's Rewards Account for twenty-four (24) consecutive months, the Member’s Rewards Account will be closed, including forfeiture of all accrued Points.
PRIVACY POLICY

SEVERABILITY
If a court of competent jurisdiction or any government agency determines that any provision of these Terms is void or unenforceable, that provision will continue to be enforceable to the extent permitted by that court or agency, and the remainder of that provision will no longer be considered as part of these Terms. However, all other provisions will remain in full force and effect.
WAIVERS
We can delay enforcing our rights under these Terms without losing the right to do so in the future. In addition, our failure to exercise our rights on any one occasion, or even on more than one occasion, does not constitute a waiver of our rights for any future occasion. All waivers must be in writing.
